The PIF, meanwhile, is its own troubling wildcard.<\/p>\n<p>Since 1990, EA has been a public company: Like other publicly traded businesses, its ownership\u2014or equity\u2014has been determined by the distribution of shares of capital stock that are bought and sold through stock exchanges. Being a publicly traded company offers advantages, the most obvious being the ability to raise funds by selling shares of stock.<\/p>\n<p>But public companies have their disadvantages, too\u2014particularly for consumers in creative and entertainment industries. But while EA won&#8217;t be subject to the whims of the stock market, private equity ownership presents its own pitfalls.<\/p>\n<p>&#8220;At the most basic level, a private equity firm is an investment management firm that raises money from different sources and uses the combined capital to buy companies,&#8221; <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.kiplinger.com\/\" target=\"_blank\">Kiplinger <\/a>senior investing editor Karee Venema told PC Gamer. &#8220;Most of the time, they buy privately held companies. The investors are able to limit how much capital they have to supply for the buyout, while limiting their financial risk if the loan\u2014in EA&#8217;s case, a $20 billion loan from JP Morgan\u2014proves insurmountable.<\/p>\n<p>Reading that might produce a faint, dissonant tingle in the back of your mind. As <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.theguardian.com\/business\/2024\/oct\/10\/slash-and-burn-is-private-equity-out-of-control\" target=\"_blank\">the Guardian<\/a> wrote last year, private equity firms have hollowed out company workforces and raised prices to pull in unsustainable profits, aiming to cut loose before declining product quality tanks sales. Others have liquidated company assets, enriching investors with the sale of real estate, subsidiaries, and intellectual property.<\/p>\n<div>\n<blockquote>\n<p>If you&#8217;re not terribly concerned about a company&#8217;s long-term survival, there are myriad ways to drain it of as much value as possible.<\/p>\n<\/blockquote>\n<\/div>\n<p>Sometimes, those sold assets will end up driving the company further into debt through &#8220;sale-leaseback agreements,&#8221; where the firm will arrange for the company to sell its real estate properties, pocketing the profits while the company is forced to pay rent for the use of its own business space. Meanwhile, the firm is <a data-analytics-id=\"inline-link\" href=\"https:\/\/newrepublic.com\/article\/198351\/private-equity-scam-destroys-livelihoods\" target=\"_blank\">likely extracting additional &#8220;management fees&#8221;<\/a>: standard 2-and-20 terms see firms taking an annual 2% of a managed company&#8217;s assets and 20% carried interest on all profits above a certain margin, while the company might face additional monitoring fees, transaction fees, and more.<\/p>\n<p>Private equity has maimed <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.newsweek.com\/stores-closing-after-being-taken-over-private-equity-firms-2037523\" target=\"_blank\">retail franchises like Party City<\/a>. It has <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.megangreenwell.com\/the-adults-in-the-room\" target=\"_blank\">brutalized digital media outlets<\/a> like the Gizmodo Media Group and <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.politico.com\/news\/magazine\/2024\/02\/18\/is-wall-street-to-blame-for-the-collapse-of-newspapers-00141920\" target=\"_blank\">demolished local news<\/a> across the US. It&#8217;s <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.bostonglobe.com\/2024\/01\/25\/business\/steward-health-care-mother-death\/\" target=\"_blank\">left hospitals full of bats<\/a> and <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.bostonglobe.com\/2024\/01\/25\/business\/steward-health-care-mother-death\/\" target=\"_blank\">increased mortality in retirement homes<\/a>. A <a data-analytics-id=\"inline-link\" href=\"https:\/\/pestakeholder.org\/reports\/private-equity-bankruptcy-tracker\/\" target=\"_blank\">report using S&#038;P data<\/a> found that in 2024, private equity-backed companies accounted for more than 10% of all corporate bankruptcies and <em>over 50%<\/em> of bankruptcies with over $500 million in liabilities\u2014but &#8220;despite their role in precipitating bankruptcies, private equity firms often emerge financially unscathed.&#8221;<\/p>\n<figure class=\"van-image-figure inline-layout\" data-bordeaux-image-check >\n<div class='image-full-width-wrapper'>\n<div class='image-widthsetter' style=\"max-width:1602px;\">\n<p class=\"vanilla-image-block\" style=\"padding-top:56.24%;\"><img loading=\"lazy\" decoding=\"async\" id=\"i8TrYgVA3iGu4tuFDehi2N\" name=\"PCG387.life_why.g6 resize.jpg\" alt=\"Battle droid about to get sliced\" src=\"https:\/\/arcader.org\/wp-content\/uploads\/2025\/10\/eas-55-billion-acquisition-is-the-biggest-leveraged-buyout-in-private-equity-history-heres-why-it-has-everyone-terrified-5.jpg\" mos=\"\" align=\"middle\" fullscreen=\"1\" width=\"1602\" height=\"901\" attribution=\"\" endorsement=\"\" class=\"expandable\"><\/p>\n<\/div>\n<\/div><figcaption itemprop=\"caption description\" class=\" inline-layout\"><span class=\"credit\" itemprop=\"copyrightHolder\">(Image credit: Electronic Arts)<\/span><\/figcaption><\/figure>\n<p>&#8220;There have certainly been instances of this\u2014the <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.nytimes.com\/2018\/03\/15\/business\/toys-r-us-bankruptcy.html\" target=\"_blank\">2017 bankruptcy of Toys &#8216;R&#8217; Us<\/a> is top of mind for me,&#8221; Venema said. &#8220;But there have been successful private equity buyouts, too.&#8221;<\/p>\n<p>Hilton, for example, <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.sciencedirect.com\/science\/article\/pii\/S0929119922001602\" target=\"_blank\">was arguably better off<\/a> in 2018 when Blackstone sold its remaining stake from its 2007 LBO\u2014sometimes called &#8220;the best LBO ever&#8221; in financial circles. In recent years, PIF investments have flooded billions into <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.theguardian.com\/football\/2025\/apr\/12\/tainted-victory-newcastles-saudi-influence-still-divisive-after-success\" target=\"_blank\">sports team<\/a> takeovers, <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.pcgamer.com\/gaming-industry\/the-first-ever-olympic-esports-games-are-coming-in-2025-and-of-course-theyre-being-held-in-saudi-arabia\/\" target=\"_blank\">esports tournaments<\/a>, <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.hollywoodreporter.com\/news\/general-news\/saudi-film-1236389032\/\" target=\"_blank\">film partnerships<\/a>, and sizable ownership stakes in videogame companies like Take-Two, Nexon, Capcom, Nintendo, and more\u2014efforts that have been criticized as attempts to launder the country&#8217;s infamous record of human rights violations as it seeks to lesson its reliance on oil.<\/p>\n<p>Saudi Arabia&#8217;s crown prince, prime minister, and de facto ruler Mohammed bin Salman, who <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.washingtonpost.com\/world\/national-security\/cia-concludes-saudi-crown-prince-ordered-jamal-khashoggis-assassination\/2018\/11\/16\/98c89fe6-e9b2-11e8-a939-9469f1166f9d_story.html\" target=\"_blank\">the CIA concluded had ordered<\/a> the assassination and dismemberment of Washington Post journalist Jamal Khashoggi, also serves as the PIF&#8217;s chairman. In 2024, <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.state.gov\/reports\/2024-country-reports-on-human-rights-practices\/saudi-arabia\" target=\"_blank\">a US Department of State report<\/a> found that, under bin Salman, there had been &#8220;no significant changes in the human rights situation in Saudi Arabia,&#8221; characterized by credible reports of extrajudicial killings, arbitrary arrests, torture, press censorship, and restrictions on freedom of expression.<\/p>\n<div>\n<blockquote>\n<p>We&#8217;ve been given proof that Saudi money is conditional.<\/p>\n<\/blockquote>\n<\/div>\n<p>We&#8217;ve already seen Saudi videogame investment land the royal family&#8217;s favorite <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.pcgamer.com\/games\/fighting\/it-doesnt-really-make-sense-that-soccer-star-ronaldo-is-now-a-fatal-fury-character-but-if-you-follow-the-money-you-can-see-how-it-happened\/\" target=\"_blank\">soccer player in Fatal Fury<\/a> and send Assassin&#8217;s Creed on <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.pcgamer.com\/games\/assassins-creed\/ubisofts-saudi-funded-assassins-creed-dlc-provokes-staff-unrest-but-the-publisher-insists-partnering-with-the-controversial-regime-is-a-ok-talking-with-partners-who-do-not-share-our-democratic-values-does-not-mean-abandoning-them\/\" target=\"_blank\">a PIF-funded DLC getaway<\/a>. The news of the PIF&#8217;s involvement in the EA buyout has sparked concern that Saudi ownership will leave EA games like The Sims, which fans have made a haven for representation and diversity, subject to a regime with a <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.amnesty.org\/en\/location\/middle-east-and-north-africa\/middle-east\/saudi-arabia\/report-saudi-arabia\/\" target=\"_blank\">documented history of women&#8217;s rights violations<\/a>.<\/p>\n<p>This month, we&#8217;ve been given proof that Saudi money is conditional. Prominent comedians like Dave Chappelle, Bill Burr, and Aziz Ansari have <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.theguardian.com\/culture\/2025\/sep\/30\/riyadh-comedy-festival-saudi-arabia\" target=\"_blank\">provoked a backlash from fans and peers<\/a> by accepting outsized payments to attend a Saudi Arabian comedy festival in Riyadh. One comedian, Tim Dillon, was <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.cbsnews.com\/news\/tim-dillon-riyadh-comedy-festival-saudi-arabia-fired-jokes-slavery\/\" target=\"_blank\">fired from the festival<\/a> after rationalizing his decision to attend with a joke that acknowledged Saudi Arabia&#8217;s <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.walkfree.org\/global-slavery-index\/country-studies\/saudi-arabia\/\" target=\"_blank\">estimated 750,000 individuals living in modern slavery<\/a>.<\/p>\n<p>In a <a data-analytics-id=\"inline-link\" href=\"https:\/\/www.foxnews.com\/world\/bret-baier-interviews-saudi-prince-israel-peace-ties-iran-nuke-fears-cannot-see-another-hiroshima\" target=\"_blank\">2023 interview with Fox News<\/a>, bin Salman waved away the accusations of &#8220;sportswashing,&#8221; saying &#8220;If sportswashing going to increase my GDP by way of one percent, then I will continue doing sportwashing.
